Latent Earth

These Terms of Service (“Terms”) govern access to and use of the Latent Earth website, application programming interfaces, software, and related services (collectively, the “Services”), provided under the brand name Latent Earth (“Latent Earth,” “we,” “us,” or “our”).
By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.
1. Business-Only Use
The Services are provided solely for business, professional, and commercial use.
By using the Services, you represent and warrant that:
- You are acting on behalf of a business, organization, or professional activity; and
- You are not using the Services as a consumer for personal, household, or non-commercial purposes.
The Services are not intended for consumer use.
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.
3. Description of Services
Latent Earth provides a geospatial embeddings API that converts geographic coordinates into high-dimensional vector representations for use in machine learning, analytics, and data products.
Outputs generated by the Services are statistical and probabilistic representations derived from machine-learned models and may change over time.
4. Accounts and Security
You are responsible for:
- Maintaining the confidentiality of your account credentials and API keys
- All activity conducted through your account
- Ensuring your use of the Services complies with these Terms and applicable laws
You must notify us promptly of any unauthorized use of your account.
5. API Usage and Restrictions
You agree not to:
- Reverse engineer, decompile, or attempt to reconstruct models or embeddings
- Use the Services to develop or train competing products or services
- Resell, sublicense, or commercially distribute the embeddings except as part of your own products or services
- Circumvent usage limits, security measures, or access controls
- Use the Services for unlawful, misleading, or harmful purposes
We may enforce rate limits, usage caps, or other technical restrictions at our discretion.
6. Fees and Billing
Certain features of the Services require payment based on usage or selected plans.
All fees are:
- Based on actual usage or plan terms
- Non-refundable except where required by applicable law
Failure to pay may result in suspension or termination of access.
7. Intellectual Property
Latent Earth retains all rights, title, and interest in and to the Services, including all models, embeddings, algorithms, documentation, and related intellectual property.
You retain ownership of any data you submit to the Services. Subject to these Terms, Latent Earth grants you a limited, non-exclusive, non-transferable license to use the outputs generated by the Services for your internal business purposes and as incorporated into your own products or services.
8. Machine Learning Disclaimer
You acknowledge and agree that:
- The Services generate statistical, probabilistic outputs, not factual determinations
- Outputs may contain inaccuracies, biases, or errors
- Latent Earth does not guarantee accuracy, completeness, or suitability for any specific purpose
You are solely responsible for evaluating and validating outputs before using them in any downstream application.
The Services must not be used as the sole basis for medical, legal, financial, safety-critical, or regulatory decisions.
9. Data Usage
Latent Earth may process and store submitted data, including coordinates, for purposes such as service operation, reliability, analytics, and model improvement, as described in the Privacy Policy.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LATENT EARTH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OR RELIABILITY OF OUTPUTS.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR REQUIREMENTS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
LATENT EARTH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
LATENT EARTH’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO LATENT EARTH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless Latent Earth from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Services
- Your products or services that incorporate the outputs
- Your violation of these Terms or applicable law
13. Class-Action Waiver
To the maximum extent permitted by applicable law, you agree that any dispute, claim, or cause of action arising out of or relating to these Terms or the Services must be brought solely on an individual basis.
You waive any right to bring or participate in any class action, collective action, private attorney general action, or representative proceeding against Latent Earth, in any forum.
If any portion of this section is found unenforceable, the remainder shall remain in full force and effect.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
15. Changes to These Terms
We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
